Nippon Steel has announced the withdrawal of its lawsuit against former US President Joe Biden and the Committee on Foreign Investment in the United States (CFIUS) following the approval of its merger with U.S. Steel. The lawsuit was dropped after President Donald Trump issued an executive order on June 13, 2025, greenlighting the merger. Nippon Steel finalized its agreement with U.S. Steel on June 18.

Earlier in January 2025, both companies had challenged Biden’s previous attempts to block the merger. As part of the finalized agreement, the US government will hold a preferred share in U.S. Steel, an unusual clause giving it partial ownership and oversight.

In a related move, Nippon Steel transferred its wholly owned subsidiary, NS Kote Inc., to ArcelorMittal in June as part of the post-merger restructuring.
